Article I.  Name

The name of this association shall be ___________________. It shall be affiliated with the ___________________ Association of America (XAA).

Article II.  Object

The object of this association shall be as prescribed by XAA.

Note: XAA bylaw V.2 (mm/dd/yyyy) specifies that "the object of affiliate associations shall be to __________________."

Article III.  Members

Section 1.  Eligibility.  Membership shall be open to all those who ____________________.

Section 2.  Dues.  Members shall pay dues of $20 by January 1 each year to remain in good standing with voting rights.  Membership is automatically forfeited if dues remain unpaid one month after the due date.

Section 3.   Resignations.  Members in good standing may submit resignations in writing to the Secretary.

Article IV.  Officers

Section 1.  Officers and Duties.  The officers shall be a President, Vice-President, Secretary and Treasurer.  These officers shall perform the duties prescribed by these bylaws and the parliamentary authority adopted herein.

Section 2.  Nominations.  A nominating committee of five members shall be elected at the regular meeting prior to the annual meeting, to nominate candidates for the election at the annual meeting.  Additional nominations shall be permitted from the floor. 

Section 3.  Elections and Terms of Office.  Officers shall be elected at the annual meeting for a term of one year or until their successors are elected; terms shall begin at the close of the annual meeting.  Elections shall be by ballot for any position with more than one nominee.  Preferential voting as described in Robert's Rules of Order Newly Revised shall be used if an election decision cannot be reached after a second ballot.

Section 4.  Term Limits.  No member shall hold more than one office at a time, and no member shall be eligible to serve more than two consecutive terms in the same office.

Section 5.  Vacancies.  The vice-president becomes president upon a vacancy in that office.  A vacancy in any other office shall be filled by special election at a membership meeting, with previous notice. 

Article V.  Meetings

Section 1.  Regular Meetings.  Regular meetings shall be held on the second Thursday of each month from September to May inclusive unless otherwise ordered by the association.

Section 2.  Annual Meeting.  The regular meeting in February shall be the annual meeting at which officers and committees shall give annual reports, and officer elections shall be held.

Section 3.  Special Meetings.  Special meetings may be called with three days notice by the President or by the Executive Board and shall be called upon written request of ten members.

Section 4.  Quorum.  Twenty-five percent of the members shall constitute a quorum.

Article VI.  The Executive Board

Section 1.  Board Composition.  The officers shall constitute the Executive Board.

Section 2.  Board Duties and Power.  The Executive Board shall have general supervision of the affairs of the association between its business meetings.  The Board shall be subject to the orders of the association, and none of its acts shall conflict with action taken by the association.

Section 3.  Board Meetings.  Meetings of the Board may be called with two days notice by the President and shall be called upon written request of two members of the Board.  A majority shall constitute a quorum.

Article VII.  Committees

Section 1.  Finance Committee.  A Finance Committee composed of the Treasurer and three other members appointed by the President shall prepare an annual budget for approval at the annual meeting.

Section 2.  Program Committee.  A Program Committee of three members appointed by the President shall present plans for meeting programs to the association for approval.

Section 3.  Audit Committee.  An Audit Committee of three members appointed by the President shall audit the Treasurer's accounts and report at the annual meeting.

Section 4.  Nominating Committee.  A Nominating Committee shall serve as prescribed in the article on Officers.

Section 5.  Special Committees.  Special committees shall be appointed by the President as directed by the Executive Board or association.

Section 6.  Ex Officio Member.  The President shall ex officio be an additional member of all committees except the Nominating Committee.

Article VIII.  Parliamentary Authority

The rules contained in the current edition of Robert's Rules of Order Newly Revised shall govern the Association in all cases to which they are applicable and in which they are not inconsistent with these bylaws and any special rules of order the Association may adopt.

Article IX.  Amendment of Bylaws

These bylaws may be amended by the Association by a two-thirds vote with notice or a nine-tenths vote without notice.
